END USER LICENSE AGREEMENT

IMPORTANT:

BEFORE USING THE SOFTWARE, PLEASE READ THIS END USER LICENSE AGREEMENT (“EULA”) CAREFULLY. BY USING THE SOFTWARE YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, YOU MAY NOT USE THE SOFTWARE.

This EULA is a legal agreement between (i) you and any entity you represent (collectively “you”) and (ii) Sony Electronics Inc. (“SONY”). This EULA governs your rights and obligations regarding the “Spatial Reality Display” software of SONY and/or its third party licensors (including SONY’s affiliates) and their respective affiliates (collectively, the “THIRD-PARTY SUPPLIERS”) for SONY’s eye-sensing stereoscopic vision display product “Spatial Reality Display”, together with any updates/upgrades, any printed, on-line or other electronic documentation for such software and any data files, each provided by SONY or the THIRD-PARTY SUPPLIERS, or created by operation of such software (collectively, the “SOFTWARE”).

Notwithstanding the foregoing, any software in the SOFTWARE having a separate end user license agreement shall be covered by such applicable separate end user license agreement in lieu of the terms of this EULA to the extent required by such separate end user license agreement (“EXCLUDED SOFTWARE”).

SOFTWARE LICENSE

The SOFTWARE is licensed, not sold. The SOFTWARE is protected by copyright and other intellectual property laws and international treaties.

COPYRIGHT

All right and title in and to the SOFTWARE (including, but not limited to, any images, photographs, animation, video, audio, music, text and “applets” and other content incorporated into the SOFTWARE) is owned by SONY or one or more of the THIRD-PARTY SUPPLIERS.

GRANT OF LICENSE

SONY grants you a limited, non-exclusive, personal, non-transferable license to use the SOFTWARE solely in connection with your compatible device (“DEVICE”) solely in accordance with this EULA and the usage instructions as may be made available to you by SONY or the THIRD-PARTY SUPPLIERS. SONY and the THIRD-PARTY SUPPLIERS expressly reserve all rights, title and interest (including, but not limited to, all intellectual property rights) in and to the SOFTWARE that this EULA does not specifically grant to you.

REQUIREMENTS AND LIMITATIONS

You may not copy, publish, adapt, redistribute, attempt to derive source code, modify, reverse engineer, decompile, or disassemble any of the SOFTWARE, whether in whole or in part, or create any derivative works from or of the SOFTWARE unless such derivative works are intentionally facilitated by the SOFTWARE. You may not modify or tamper with any digital rights management functionality of the SOFTWARE. You may not bypass, modify, defeat or circumvent any of the functions or protections of the SOFTWARE or any mechanisms operatively linked to the SOFTWARE. You may not separate any individual component of the SOFTWARE for use on more than one DEVICE unless expressly authorized to do so by SONY. You may not remove, alter, cover or deface any trademarks or notices on the SOFTWARE. You may not share, distribute, rent, lease, sublicense, assign, transfer or sell the SOFTWARE. You may not use the SOFTWARE in connection with violation of laws, regulations, court decisions or other legally binding dispositions by a public authority or public policy, or infringement of the rights or legally protected interests (including, but not limited to, intellectual and other property rights, rights to trade secrets, honors, privacy and publicity) of SONY, each of the THIRD-PARTY SUPPLIERS or any third parties. The software, network services or other products other than the SOFTWARE upon which the SOFTWARE’S performance depends might be modified, interrupted or discontinued at the discretion of the suppliers (software suppliers, service suppliers, or SONY). SONY and such suppliers do not warrant that the SOFTWARE, network services, contents or other products will continue to be available, or will operate without interruption or modification. You shall not, nor shall you instruct or permit, procure, enable or request any third party (including your users, third party personnel or other personnel, staff or contractors) to, take any action designed or intended to: (i) use the SOFTWARE (or any part thereof) in any manner or for any purpose that is inconsistent with this EULA; (ii) introduce to the SOFTWARE any “back door,” “drop dead device,” “time bomb,” “Trojan horse,” “virus,” or “worm” (as such terms are commonly understood in the software industry) or any other equivalent code, files, scripts, agents, programs, software routine or instructions designed or intended to disrupt, disable, harm or otherwise impede in any manner the operation of the SOFTWARE or any device or system owned or controlled by you or any third party, or which otherwise may damage or destroy any data or file (“Malicious Code”); (iii) interfere with the proper working of the SOFTWARE; (iv) circumvent, disable, or interfere with security-related features of the SOFTWARE or features that prevent or restrict use, access to, or copying the SOFTWARE, or that enforce limitations on use of the SOFTWARE; or (v) impose (or which may impose, in your sole discretion) an unreasonable or disproportionately large load on the SOFTWARE.

EXCLUDED SOFTWARE AND OPEN SOURCE COMPONENTS

Notwithstanding the foregoing limited license grant, you acknowledge that the SOFTWARE may include EXCLUDED SOFTWARE. Certain EXCLUDED SOFTWARE may be covered by open source software licenses (“Open Source Components”), which means any software licenses approved as open source licenses by the Open Source Initiative or any substantially similar licenses. If and to the extent disclosure is required, please visit oss.sony.net/Products/Linux or other SONY-designated web site for a list of applicable Open Source Components included in the SOFTWARE from time to time, and the applicable terms and conditions governing its use. Such terms and conditions may be changed by the applicable third party at any time without liability to you. To the extent required by the licenses covering EXCLUDED SOFTWARE, the terms of such licenses will apply in lieu of the terms of this EULA. To the extent the terms of the licenses applicable to EXCLUDED SOFTWARE prohibit any of the restrictions in this EULA with respect to such EXCLUDED SOFTWARE, such restrictions will not apply to such EXCLUDED SOFTWARE.

USE OF SOFTWARE WITH COPYRIGHTED MATERIALS

The SOFTWARE may be capable of being used by you to view, store, process and/or use content created by you and/or third parties. Such content may be protected by copyright, other intellectual property laws, and/or agreements. You agree to use the SOFTWARE only in compliance with all such laws and agreements that apply to such content. You acknowledge and agree that SONY may take appropriate measures to protect content stored, processed or used by the SOFTWARE. Such measures include, but are not limited to, refusal to accept your request to enable backup and restoration of content through certain SOFTWARE features, and termination of this EULA in the event of your illegitimate use of the SOFTWARE.

CONTENT SERVICE

PLEASE ALSO NOTE THAT THE SOFTWARE MAY BE DESIGNED TO BE USED WITH CONTENT AVAILABLE THROUGH ONE OR MORE CONTENT SERVICES (“CONTENT SERVICE”). USE OF THE SERVICE AND THAT CONTENT IS SUBJECT TO THE TERMS OF SERVICE OF THAT CONTENT SERVICE. IF YOU DECLINE TO ACCEPT THOSE TERMS, YOUR USE OF THE SOFTWARE WILL BE LIMITED. You acknowledge and agree that certain content and services available through the SOFTWARE may be provided by third parties over which SONY has no control. WHERE CONTENT SERVICE IS NOT UNDER SONY’S CONTROL, SONY SHALL NOT BE LIABLE IN RESPECT OF ANY DAMAGES (OR OTHER LIABILITY) RELATED TO SUCH CONTENT SERVICE. USE OF THE CONTENT SERVICE REQUIRES AN INTERNET CONNECTION. THE CONTENT SERVICE MAY BE MODIFIED OR DISCONTINUED AT ANY TIME.

INTERNET CONNECTIVITY AND THIRD PARTY SERVICES

You acknowledge and agree that access to certain SOFTWARE features may require an Internet connection for which you are solely responsible. Further, you are solely responsible for payment of any fees associated with your Internet connection, including but not limited to Internet service provider or airtime charges. Operation of the SOFTWARE may be limited or restricted depending on the capabilities, bandwidth or technical limitations of your Internet connection and service. The provision, quality and security of such Internet connectivity are your responsibility or that of the third party providing such service. You are solely responsible in the event any Malicious Code introduced in the SOFTWARE because of or through, your internet connections.

EXPORT AND OTHER REGULATIONS

You agree to comply with all applicable export and re-export restrictions and regulations of the Department of Commerce and other United States agencies and authorities, and not to transfer, or authorize the transfer, of the SOFTWARE to a prohibited country or otherwise in violation of any such restrictions or regulations.

U.S. GOVERNMENT RESTRICTED RIGHTS

Use, duplication, or disclosure by the United States Government is subject to restriction as set forth in subparagraph (c) (1) and (2) of the Commercial Computer Software-Restricted Rights at 48 C.F.R. § 52.227-19, as applicable. The manufacturer solely for purposes of this section is Sony Electronics Inc., 16535 Via Esprillo, San Diego, CA 92127.

HIGH RISK ACTIVITIES

The SOFTWARE is not fault-tolerant and is not designed, manufactured or intended for use or resale as on-line control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of the SOFTWARE could lead to death, personal injury, or severe physical or environmental damage (“HIGH RISK ACTIVITIES”). SONY, each of the THIRD-PARTY SUPPLIERS, and each of their respective affiliates specifically disclaim any express or implied warranty, duty or condition of fitness for HIGH RISK ACTIVITIES.

EXCLUSION OF WARRANTY ON SOFTWARE

You acknowledge and agree that use of the SOFTWARE is at your sole risk and that you are responsible for use of the SOFTWARE. The SOFTWARE is provided “AS IS,” without warranty, duty or condition of any kind.

SONY AND EACH OF THE THIRD-PARTY SUPPLIERS (for purposes of this Section, SONY and each of the THIRD-PARTY SUPPLIERS shall be collectively referred to as “SONY”) EXPRESSLY DISCLAIM ALL WARRANTIES, DUTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE AND NONINFRINGEMENT. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SONY DOES NOT WARRANT OR MAKE ANY CONDITIONS OR REPRESENTATIONS (A) THAT THE FUNCTIONS CONTAINED IN ANY OF THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THEY WILL BE UPDATED, (B) THAT THE OPERATION OF ANY OF THE SOFTWARE WILL BE CORRECT OR ERROR-FREE OR THAT ANY DEFECTS WILL BE CORRECTED, (C) THAT THE SOFTWARE WILL NOT DAMAGE ANY OTHER SOFTWARE, HARDWARE OR DATA, (D) THAT ANY SOFTWARE, NETWORK SERVICES (INCLUDING THE INTERNET) OR PRODUCTS (OTHER THAN THE SOFTWARE) UPON WHICH THE SOFTWARE’S PERFORMANCE DEPENDS WILL CONTINUE TO BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE OR UNMODIFIED, (E) THAT THE SOFTWARE OR ANY EQUIPMENT, SYSTEM OR NETWORK ON WHICH THE SOFTWARE IS USED (INCLUDING THE DEVICE) WILL BE FREE OF VULNERABILITY TO INTRUSION OR ATTACK AND (F) REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY SONY OR AN AUTHORIZED REPRESENTATIVE OF SONY SHALL CREATE A WARRANTY, DUTY OR CONDITION OR IN ANY WAY INCREASE THE SCOPE OF ANY PROVISION OF THIS EULA. SHOULD THE SOFTWARE PROVE DEFECTIVE YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THESE EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT THEY ARE CONTRARY TO APPLICABLE LAW OF YOUR JURISDICTION.

LIMITATION OF LIABILITY

SONY AND EACH OF THE THIRD-PARTY SUPPLIERS (for purposes of this Section, SONY and each of the THIRD-PARTY SUPPLIERS shall be collectively referred to as “SONY”) SHALL NOT BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, EXEMPLARY OR CONSEQUENTIAL LOSS OR DAMAGES FOR BREACH OF ANY EXPRESS OR IMPLIED WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR UNDER ANY OTHER LEGAL THEORY RELATED TO THE SOFTWARE, INCLUDING, BUT NOT LIMITED TO, ANY DAMAGES ARISING OUT OF LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE OF THE SOFTWARE OR ANY ASSOCIATED HARDWARE, DOWN TIME AND USER’S TIME, EVEN IF ANY OF THEM HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES. IN ANY CASE, EACH AND ALL OF THEIR AGGREGATE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE GREATER OF (i) THE AMOUNT ACTUALLY PAID FOR THE SOFTWARE AND/OR SONY’S SERVICE TO WHICH THE SOFTWARE IS DEDICATED OR (ii) THE FIXED AMOUNT AGREED IN WRITING BETWEEN SONY AND YOU. SOME JURISDICTIONS DO NOT ALLOW SUCH EXCLUSIONS OR LIMITATIONS OF LIABILITY, SO THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT THEY ARE CONTRARY TO APPLICABLE LAW OF YOUR JURISDICTION.

INDEMNITY

Except as prohibited by applicable law, you agree to indemnify and hold harmless SONY and the THIRD-PARTY SUPPLIERS and their respective affiliates, officers and employees, from any loss, claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the SOFTWARE and/or the DEVICE (including, without limitation, any software vulnerability caused by such use), your violation of this EULA or your failure to fulfill your responsibility under this EULA.

FORCE MAJEURE

SONY shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, fire, floods, storms, earthquakes, epidemics, acts of God, war, terrorism, riots, insurrection, embargoes, acts of civil, military or governmental authorities, nuclear or other accidents, explosions, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

ENTIRE AGREEMENT, WAIVER, SEVERABILITY

This EULA (and SONY’s applicable privacy policy separately presented to you, if any), as amended and modified from time to time, constitute the entire agreement(s) between you and SONY with respect to the SOFTWARE. The failure of SONY to exercise or enforce any right or provision of this EULA shall not constitute a waiver of such right or provision. If any part of this EULA is held invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible so as to maintain the intent of this EULA, and the other parts will remain in full force and effect.

GOVERNING LAW AND JURISDICTION

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to the SOFTWARE or this EULA. This EULA will not be governed or interpreted in any way by referring to any law based on the Uniform Computer Information Transactions Act (UCITA) or any other act derived from or related to UCITA. This EULA shall be governed by the laws of the State of Delaware (USA), without regard to conflict of laws provisions.

BINDING ARBITRATION

ANY “DISPUTE” THAT IS NOT RESOLVED THROUGH THE INFORMAL NEGOTIATION PROCESS DESCRIBED ABOVE SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION. “DISPUTE” is defined as any disagreement, cause of action, claim, controversy, or proceeding between you and any Sony entity related to or arising out of the SOFTWARE or this EULA. DISPUTE is to be given the broadest possible meaning that will be enforced. If a DISPUTE arises, you agree to first give notice to SONY by contacting Sony Electronics Inc. at 16535 Via Esprillo, MZ 1105, San Diego, CA 92127, Attn: Legal Department, and engaging in good faith negotiations to attempt to resolve any DISPUTE for at least 14 days, except that you or Sony (or any of its affiliates) may skip this informal negotiation procedure for DISPUTE enforcing, protecting, or concerning the validity of intellectual property rights.

ARBITRATION INSTRUCTIONS

To begin arbitration, either you or SONY must make a written demand to the other for arbitration. The arbitration will take place before a single arbitrator. It will be administered in keeping with the Expedited Procedures of the Commercial Arbitration Rules, and the Supplementary Proceedings for Consumer-Related disputes when applicable (“Rules”) of the American Arbitration Association (“AAA”) in effect when the claim is filed. You may get a copy of AAA’s Rules by contacting AAA at (800) 778-7879 or visiting www.adr.org. The filing fees to begin and carry out arbitration will be shared between you and SONY, but in no event shall your fees ever exceed the amount allowable by the special rules for Consumers Disputes provided for by AAA, at which point SONY will cover all additional administrative fees and expenses. This does not prohibit the arbitrator from giving the winning party their fees and expenses of the arbitration when appropriate pursuant to the Rules. Unless you and SONY agree differently, the arbitration will take place in the county and state where you live, and applicable federal or state law shall govern the substance of any DISPUTE. The Federal Arbitration Act, 9 U.S.C. § 1, et seq., will govern the arbitration itself and not any state law on arbitration. The arbitrator’s decision will be binding and final, except for a limited right of appeal under the Federal Arbitration Act. The arbitrator may award declaratory or injunctive relief only in favor of the party seeking relief, and only to the extent necessary to provide relief warranted by that party’s individual claim. Any court with jurisdiction over the parties may enforce the arbitrator’s decision.

SMALL CLAIMS EXCEPTION

Despite the provisions set forth above, you have the right to litigate any DISPUTE in small claims court or other similar court of limited jurisdiction, to the extent the amount at issue does not exceed $15,000, and as long as such court has proper jurisdiction and all other requirements (including amount in controversy) are satisfied.

CLASS ACTION WAIVER

YOU UNDERSTAND AND ACKNOWLEDGE THAT BY AGREEING TO BINDING ARBITRATION, YOU ARE GIVING UP THE RIGHT TO LITIGATE (OR PARTICIPATE IN AS A PARTY OR CLASS MEMBER) ANY DISPUTES IN COURT BEFORE A JUDGE OR JURY. ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS, AND BOTH PARTIES AGREE NOT TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, REPRESENTATIVE ACTION, CONSOLIDATED ACTION, OR PRIVATE ATTORNEY GENERAL ACTION, UNLESS ALL PARTIES INVOLVED IN THE DISPUTE SPECIFICALLY AGREE TO DO SO IN WRITING FOLLOWING INITIATION OF THE ARBITRATION.

OPT-OUT INSTRUCTIONS

IF YOU DO NOT WISH TO BE BOUND BY THE BINDING ARBITRATION PROVISION AND/OR THE CLASS ACTION WAIVER ABOVE, THEN: (1) YOU MUST NOTIFY SONY IN WRITING WITHIN 30 DAYS OF THE DATE THAT YOU FIRST USE THE SOFTWARE OR AGREE TO THIS EULA, WHICHEVER OCCURS FIRST; (2) YOUR WRITTEN NOTIFICATION MUST BE MAILED TO SONY ELECTRONICS INC., 16535 VIA ESPRILLO, MZ 1105, SAN DIEGO CA 92127, ATTN: LEGAL DEPARTMENT; AND (3) YOUR WRITTEN NOTIFICATION MUST INCLUDE: (A) YOUR NAME; (B) YOUR ADDRESS; (C) THE DATE YOU FIRST USED THE SOFTWARE OR AGREED TO THIS EULA; AND (D) A CLEAR STATEMENT THAT YOU DO NOT WISH TO RESOLVE DISPUTES WITH ANY SONY ENTITY THROUGH ARBITRATION AND/OR TO BE BOUND BY THE CLASS ACTION WAIVER.

REJECTING CHANGES MADE TO THE DISPUTE PROCEDURES

Despite anything to the contrary in this EULA, you may reject changes made to the binding arbitration provision and class action waiver if: (1) you’ve already begun authorized use of the SOFTWARE at the time the change was/is made; and (2) you mail written notice to the address in the immediately preceding paragraph within 30 days after the particular change was/is made. Should such a situation arise, you will still be bound by the DISPUTE procedures you previously agreed to and existing before the change you rejected was made.

MISCELLANEOUS

Any DISPUTE determined not subject to arbitration and not initiated in small claims court will be litigated by either party in a court of competent jurisdiction in either the superior court for the County of San Diego or in the United States District Court for the Southern District of California.

EQUITABLE REMEDIES

Notwithstanding anything contained in this EULA to the contrary, you acknowledge and agree that any violation of or non-compliance with this EULA by you will cause irreparable harm to SONY, for which monetary damages would be inadequate, and you consent to SONY obtaining any injunctive or equitable relief that SONY deems necessary or appropriate in such circumstances. SONY may also take any legal and technical remedies to prevent violation of and/or to enforce this EULA, including, but not limited to, immediate termination of your use of the SOFTWARE, if SONY believes in its sole discretion that you are violating or intend to violate this EULA. These remedies are in addition to any other remedies SONY may have at law, in equity or under contract.

TERMINATION

Without prejudice to any of its other rights, SONY may suspend your access or use of the SOFTWARE and/or terminate this EULA if you fail to comply with any of its terms. In case of such termination, you must: (i) cease all use, and destroy any copies, of the SOFTWARE; (ii) comply with the requirements in the section below entitled “Your Account Responsibilities”.

AMENDMENT

SONY RESERVES THE RIGHT TO AMEND ANY OF THE TERMS OF THIS EULA AT ITS SOLE DISCRETION BY POSTING NOTICE ON A SONY DESIGNATED WEB SITE, BY EMAIL NOTIFICATION TO AN EMAIL ADDRESS PROVIDED BY YOU, BY PROVIDING NOTICE AS PART OF THE PROCESS IN WHICH YOU OBTAIN UPGRADES/UPDATES OR BY ANY OTHER REASONABLE OR LEGALLY RECOGNIZABLE FORM OF NOTICE. If you do not agree to the amendment, you should promptly contact SONY for instructions. Your continued use of the SOFTWARE after the effective date of any such notice shall be deemed your agreement to be bound by such amendment.

THIRD-PARTY BENEFICIARIES

Each THIRD-PARTY SUPPLIER is an express intended third-party beneficiary of, and shall have the right to enforce, each provision of this EULA with respect to the software of such party.

SOFTWARE DELETION

Should you return your DEVICE to its place of purchase, sell or otherwise transfer your DEVICE, or if this EULA is terminated, you are responsible for and must, if reasonably possible, uninstall the SOFTWARE from the DEVICE.

Privacy Notice

  1. When you use your Spatial Reality Display, the built-in camera in your Spatial Reality Display and the SOFTWARE processes information about the viewers, including real-time facial image and eye position. The information processed may constitute ‘biometric information’ under certain laws. The information is processed solely within your Spatial Reality Display and the SOFTWARE and is not transmitted to SONY.

    It is your responsibility to maintain and implement the necessary privacy policies, mechanisms and processes as required by applicable privacy laws and regulations for the collection and processing of this data.

  2. With the ‘high-speed vision sensor log files saving’ feature, the built-in camera of your Spatial Reality Display and the SOFTWARE will process information about the viewers, including real-time facial image, to detect the viewer and the position of their eyes. The data is processed to analyze and log the number of viewers and viewing time. The information that is processed may constitute ‘biometric information’ under certain laws.

BEFORE USING THE SOFTWARE, PLEASE READ THIS END USER LICENSE AGREEMENT (“EULA”) CAREFULLY. BY USING THE SOFTWARE YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, YOU MAY NOT USE THE SOFTWARE.

This EULA is a legal agreement between (i) you and any entity you represent (collectively “you”) and (ii) Sony Corporation (“SONY”). This EULA governs your rights and obligations regarding the “Spatial Reality Display” software of SONY and/or its third party licensors (including SONY’s affiliates) and their respective affiliates (collectively, the “THIRD-PARTY SUPPLIERS”) for downloading and use from the website designated by SONY or SONY’s affiliates, together with any updates/upgrades, any printed, on-line or other electronic documentation for such software and any data files, each provided by SONY or the THIRD-PARTY SUPPLIERS, or created by operation of such software (collectively, the “SOFTWARE”).

Notwithstanding the foregoing, any software in the SOFTWARE having a separate end user license agreement (including, but not limited to, GNU General Public license and Lesser/Library General Public License) shall be covered by such applicable separate end user license agreement in lieu of the terms of this EULA to the extent required by such separate end user license agreement (“EXCLUDED SOFTWARE”).

SOFTWARE LICENSE

The SOFTWARE is licensed, not sold. The SOFTWARE is protected by copyright and other intellectual property laws and international treaties.

COPYRIGHT

All right and title in and to the SOFTWARE (including, but not limited to, any images, photographs, animation, video, audio, music, text and "applets" and other content incorporated into the SOFTWARE) is owned by SONY or one or more of the THIRD-PARTY SUPPLIERS.

GRANT OF LICENSE

SONY grants you the following limited, non-exclusive, personal, non-transferable license to use the SOFTWARE (a) solely in accordance with this EULA and the usage instructions as may be made available to you by SONY or the THIRD-PARTY SUPPLIERS and (b) only for your personal and noncommercial use.

  • to install one copy of the SOFTWARE on your personal computer. Unless otherwise specified in the documentation provided with the SOFTWARE or on SONY-designated web site, you may install and use such SOFTWARE on one unit of personal computer at a time;
  • to use the SOFTWARE which is installed into your personal computer for the purpose of creating 3D content; and
  • (iii) to make one back-up copy of the SOFTWARE solely for recovery purposes to be used consistent herewith.

SONY and the THIRD-PARTY SUPPLIERS expressly reserve all rights, title and interest (including, but not limited to, all intellectual property rights) in and to the SOFTWARE that this EULA does not specifically grant to you.

REQUIREMENTS AND LIMITATIONS

You may not copy, publish, adapt, redistribute, attempt to derive source code, modify, reverse engineer, decompile, or disassemble any of the SOFTWARE, whether in whole or in part, or create any derivative works from or of the SOFTWARE unless such derivative works are intentionally facilitated by the SOFTWARE. You may not modify or tamper with any digital rights management functionality of the SOFTWARE. You may not bypass, modify, defeat or circumvent any of the functions or protections of the SOFTWARE or any mechanisms operatively linked to the SOFTWARE. You may not separate any individual component of the SOFTWARE for use on more than one computer unless expressly authorized to do so by SONY. You may not remove, alter, cover or deface any trademarks or notices on the SOFTWARE. You may not share, distribute, rent, lease, sublicense, assign, transfer or sell the SOFTWARE. You may not use the SOFTWARE in connection with violation of laws, regulations, court decisions or other legally binding dispositions by a public authority or public policy, or infringement of the rights or legally protected interests (including, but not limited to, intellectual and other property rights, rights to trade secrets, honors, privacy and publicity) of SONY, each of the THIRD-PARTY SUPPLIERS or any third parties. The software or other products other than the SOFTWARE upon which the SOFTWARE’S performance depends might be modified, interrupted or discontinued at the discretion of the suppliers (software suppliers or SONY). SONY and such suppliers do not warrant that the SOFTWARE, contents or other products will continue to be available, or will operate without interruption or modification. You shall not, nor shall you instruct or permit, procure, enable or request any third party (including your users, third party personnel or other personnel, staff or contractors) to, take any action designed or intended to: (i) use the SOFTWARE (or any part thereof) in any manner or for any purpose that is inconsistent with this EULA; (ii) introduce to the SOFTWARE any “back door,” “drop dead device,” “time bomb,” “Trojan horse,” “virus,” or “worm” (as such terms are commonly understood in the software industry) or any other equivalent code, files, scripts, agents, programs, software routine or instructions designed or intended to disrupt, disable, harm or otherwise impede in any manner the operation of the SOFTWARE or any device or system owned or controlled by you or any third party, or which otherwise may damage or destroy any data or file (“Malicious Code”); (iii) interfere with the proper working of the SOFTWARE; (iv) circumvent, disable, or interfere with security-related features of the SOFTWARE or features that prevent or restrict use, access to, or copying the SOFTWARE, or that enforce limitations on use of the SOFTWARE; or (v) impose (or which may impose, in your sole discretion) an unreasonable or disproportionately large load on the SOFTWARE.

EXCLUDED SOFTWARE AND OPEN SOURCE COMPONENTS

Notwithstanding the foregoing limited license grant, you acknowledge that the SOFTWARE may include EXCLUDED SOFTWARE. Certain EXCLUDED SOFTWARE may be covered by open source software licenses (“OPEN SOURCE COMPONENTS”), which means any software licenses approved as open source licenses by the Open Source Initiative or any substantially similar licenses, including but not limited to any license that, as a condition of distribution of the software licensed under such license, requires that the distributor make the software available in source code format. If and to the extent disclosure is required, please visit oss.sony.net/Products/Linux or other SONY-designated web site for a list of applicable OPEN SOURCE COMPONENTS included in the SOFTWARE from time to time, and the applicable terms and conditions governing its use. Such terms and conditions may be changed by the applicable third party at any time without liability to you. To the extent required by the licenses covering EXCLUDED SOFTWARE, the terms of such licenses will apply in lieu of the terms of this EULA. To the extent the terms of the licenses applicable to EXCLUDED SOFTWARE prohibit any of the restrictions in this EULA with respect to such EXCLUDED SOFTWARE, such restrictions will not apply to such EXCLUDED SOFTWARE. To the extent the terms of the licenses applicable to OPEN SOURCE COMPONENTS require SONY to make an offer to provide source code in connection with the SOFTWARE, such offer is hereby made.

USE OF SOFTWARE WITH COPYRIGHTED MATERIALS

The SOFTWARE may be capable of being used by you to view, store, process and/or use content created by you and/or third parties. Such content may be protected by copyright, other intellectual property laws, and/or agreements. You agree to use the SOFTWARE only in compliance with all such laws and agreements that apply to such content. You acknowledge and agree that SONY may take appropriate measures to protect content stored, processed or used by the SOFTWARE. Such measures include, but are not limited to, refusal to accept your request to enable backup and restoration of content through certain SOFTWARE features, and termination of this EULA in the event of your illegitimate use of the SOFTWARE.

EXPORT AND OTHER REGULATIONS

You agree to comply with all applicable export and re-export restrictions and regulations of the area or country in which you reside or use the SOFTWARE, and not to transfer, or authorize the transfer, of the SOFTWARE to a prohibited country or otherwise in violation of any such restrictions or regulations.

HIGH RISK ACTIVITIES

The SOFTWARE is not fault-tolerant and is not designed, manufactured or intended for use or resale as on-line control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of the SOFTWARE could lead to death, personal injury, or severe physical or environmental damage ("HIGH RISK ACTIVITIES"). SONY, each of the THIRD-PARTY SUPPLIERS, and each of their respective affiliates specifically disclaim any express or implied warranty, duty or condition of fitness for HIGH RISK ACTIVITIES.

EXCLUSION OF WARRANTY ON SOFTWARE

You acknowledge and agree that use of the SOFTWARE is at your sole risk and that you are responsible for use of the SOFTWARE. The SOFTWARE is provided "AS IS,” without warranty, duty or condition of any kind.

SONY AND EACH OF THE THIRD-PARTY SUPPLIERS (for purposes of this Section, SONY and each of the THIRD-PARTY SUPPLIERS shall be collectively referred to as “SONY”) EXPRESSLY DISCLAIM ALL WARRANTIES, DUTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE AND NONINFRINGEMENT. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SONY DOES NOT WARRANT OR MAKE ANY CONDITIONS OR REPRESENTATIONS (A) THAT THE FUNCTIONS CONTAINED IN ANY OF THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THEY WILL BE UPDATED, (B) THAT THE OPERATION OF ANY OF THE SOFTWARE WILL BE CORRECT OR ERROR-FREE OR THAT ANY DEFECTS WILL BE CORRECTED, (C) THAT THE SOFTWARE WILL NOT DAMAGE ANY OTHER SOFTWARE, HARDWARE OR DATA, (D) THAT ANY SOFTWARE OR PRODUCTS (OTHER THAN THE SOFTWARE) UPON WHICH THE SOFTWARE’S PERFORMANCE DEPENDS WILL CONTINUE TO BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE OR UNMODIFIED, (E) THAT THE SOFTWARE OR ANY EQUIPMENT OR SYSTEM ON WHICH THE SOFTWARE IS USED WILL BE FREE OF VULNERABILITY TO INTRUSION OR ATTACK AND (F) REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY SONY OR AN AUTHORIZED REPRESENTATIVE OF SONY SHALL CREATE A WARRANTY, DUTY OR CONDITION OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. SHOULD THE SOFTWARE PROVE DEFECTIVE YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THESE EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT THEY ARE CONTRARY TO APPLICABLE LAW OF YOUR JURISDICTION.

LIMITATION OF LIABILITY

SONY AND EACH OF THE THIRD-PARTY SUPPLIERS (for purposes of this Section, SONY and each of the THIRD-PARTY SUPPLIERS shall be collectively referred to as “SONY”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL LOSS OR DAMAGES FOR BREACH OF ANY EXPRESS OR IMPLIED WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR UNDER ANY OTHER LEGAL THEORY RELATED TO THE SOFTWARE, INCLUDING, BUT NOT LIMITED TO, ANY DAMAGES ARISING OUT OF LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE OF THE SOFTWARE OR ANY ASSOCIATED HARDWARE, DOWN TIME AND USER’S TIME, EVEN IF ANY OF THEM HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES. IN ANY CASE, EACH AND ALL OF THEIR AGGREGATE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE GREATER OF (i) THE AMOUNT ACTUALLY PAID FOR THE SOFTWARE, SONY’S PRODUCT WHICH THE SOFTWARE IS EMBEDDED IN OR BUNDLED WITH AND/OR SONY’S SERVICE TO WHICH THE SOFTWARE IS DEDICATED OR (ii) US$5. SOME JURISDICTIONS DO NOT ALLOW SUCH EXCLUSIONS OR LIMITATIONS OF LIABILITY, SO THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT THEY ARE CONTRARY TO APPLICABLE LAW OF YOUR JURISDICTION.

INDEMNITY

Except as prohibited by applicable law, you agree to indemnify and hold harmless SONY and the THIRD-PARTY SUPPLIERS and their respective parents, subsidiaries, affiliates, and the respective officers, directors, agents and employees of each of them, from any loss, claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the SOFTWARE (including, without limitation, any software vulnerability caused by such use), your violation of this EULA or your failure to fulfill your responsibility under this EULA.

UPDATE FEATURE

From time to time, SONY or the THIRD-PARTY SUPPLIERS may update or otherwise modify the SOFTWARE, including, but not limited to, for purposes of enhancement of security functions, error correction and improvement of functions. Such updates or modifications may delete or change the nature of features or other aspects of the SOFTWARE, including, but not limited to, functions you may rely upon. You acknowledge and agree that such updates may occur at SONY's sole discretion and that SONY may condition continued use of the SOFTWARE upon your complete installation or acceptance of such update or modifications. Any updates/modifications shall be deemed to be, and shall constitute part of, the SOFTWARE for purposes of this EULA. By acceptance of this EULA, you consent to such update/modification.

FORCE MAJEURE

SONY shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control or any other contingency beyond SONY's control not herein enumerated, including, but not limited to, fire, floods, storms, earthquakes, epidemics, pandemics, outbreaks, acts of God, war, terrorism, riots, insurrection, embargoes, acts of civil, military or governmental authorities, nuclear or other accidents, explosions, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

ENTIRE AGREEMENT, WAIVER, SEVERABILITY

This EULA as amended and modified from time to time, constitute the entire agreement(s) between you and SONY with respect to the SOFTWARE. The failure of SONY to exercise or enforce any right or provision of this EULA shall not constitute a waiver of such right or provision. If any part of this EULA is held invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible so as to maintain the intent of this EULA, and the other parts will remain in full force and effect.

GOVERNING LAW AND JURISDICTION

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this EULA. This EULA shall be governed by the laws of Japan, without regards to conflict of laws provisions. Any dispute arising out of this EULA shall be subject to the exclusive venue of the Tokyo District Court in Japan, and the parties hereby consent to the venue and jurisdiction of such courts. The foregoing does not apply to you to the extent applicable law of your jurisdiction restricts or prohibits such agreements.

EQUITABLE REMEDIES

Notwithstanding anything contained in this EULA to the contrary, you acknowledge and agree that any violation of or non-compliance with this EULA by you will cause irreparable harm to SONY, for which monetary damages would be inadequate, and you consent to SONY obtaining any injunctive or equitable relief that SONY deems necessary or appropriate in such circumstances. SONY may also take any legal and technical remedies to prevent violation of and/or to enforce this EULA, including, but not limited to, immediate termination of your use of the SOFTWARE, if SONY believes in its sole discretion that you are violating or intend to violate this EULA. These remedies are in addition to any other remedies SONY may have at law, in equity or under contract.

TERMINATION

Without prejudice to any of its other rights, SONY may suspend your access or use of the SOFTWARE and/or terminate the SOFTWARE and/or terminate this EULA for any or no reason, including, but not limited to, if you fail to comply with any of its terms. In case of such termination, you must: (i) cease all use, and destroy any copies, of the SOFTWARE; (ii) comply with the requirements in the section below entitled “Your Account Responsibilities”.

AMENDMENT

SONY RESERVES THE RIGHT TO AMEND ANY OF THE TERMS OF THIS EULA AT ITS SOLE DISCRETION BY POSTING NOTICE ON A SONY DESIGNATED WEB SITE, BY EMAIL NOTIFICATION TO AN EMAIL ADDRESS PROVIDED BY YOU, BY PROVIDING NOTICE AS PART OF THE PROCESS IN WHICH YOU OBTAIN UPGRADES/UPDATES OR BY ANY OTHER LEGALLY RECOGNIZABLE FORM OF NOTICE. If you do not agree to the amendment, you should promptly contact SONY for instructions. Your continued use of the SOFTWARE after the effective date of any such notice shall be deemed your agreement to be bound by such amendment.

THIRD-PARTY BENEFICIARIES

Each THIRD-PARTY SUPPLIER is an express intended third-party beneficiary of, and shall have the right to enforce, each provision of this EULA with respect to the software of such party.

YOUR ACCOUNT RESPONSIBILITIES

If the SOFTWARE or this EULA is terminated, you are responsible for and must, if reasonably possible, uninstall the SOFTWARE from your personal computer and delete any and all accounts accessible through the SOFTWARE. You are solely responsible for maintaining the confidentiality of any accounts you have with SONY or third parties and any usernames and passwords associated with your use of the SOFTWARE.

Such terms and conditions may be changed by the applicable third party at any time without liability to you. To the extent required by the licenses covering EXCLUDED SOFTWARE, the terms of such licenses will apply in lieu of the terms of this EULA. To the extent the terms of the licenses applicable to EXCLUDED SOFTWARE prohibit any of the restrictions in this EULA with respect to such EXCLUDED SOFTWARE, such restrictions will not apply to such EXCLUDED SOFTWARE.

USE OF SOFTWARE WITH COPYRIGHTED MATERIALS

The SOFTWARE may be capable of being used by you to view, store, process and/or use content created by you and/or third parties. Such content may be protected by copyright, other intellectual property laws, and/or agreements. You agree to use the SOFTWARE only in compliance with all such laws and agreements that apply to such content. You acknowledge and agree that SONY may take appropriate measures to protect content stored, processed or used by the SOFTWARE. Such measures include, but are not limited to, refusal to accept your request to enable backup and restoration of content through certain SOFTWARE features, and termination of this EULA in the event of your illegitimate use of the SOFTWARE.

CONTENT SERVICE

PLEASE ALSO NOTE THAT THE SOFTWARE MAY BE DESIGNED TO BE USED WITH CONTENT AVAILABLE THROUGH ONE OR MORE CONTENT SERVICES (“CONTENT SERVICE”). USE OF THE SERVICE AND THAT CONTENT IS SUBJECT TO THE TERMS OF SERVICE OF THAT CONTENT SERVICE. IF YOU DECLINE TO ACCEPT THOSE TERMS, YOUR USE OF THE SOFTWARE WILL BE LIMITED. You acknowledge and agree that certain content and services available through the SOFTWARE may be provided by third parties over which SONY has no control. WHERE CONTENT SERVICE IS NOT UNDER SONY’S CONTROL, SONY SHALL NOT BE LIABLE IN RESPECT OF ANY DAMAGES (OR OTHER LIABILITY) RELATED TO SUCH CONTENT SERVICE. USE OF THE CONTENT SERVICE REQUIRES AN INTERNET CONNECTION. THE CONTENT SERVICE MAY BE MODIFIED OR DISCONTINUED AT ANY TIME.

INTERNET CONNECTIVITY AND THIRD PARTY SERVICES

You acknowledge and agree that access to certain SOFTWARE features may require an Internet connection for which you are solely responsible. Further, you are solely responsible for payment of any fees associated with your Internet connection, including but not limited to Internet service provider or airtime charges. Operation of the SOFTWARE may be limited or restricted depending on the capabilities, bandwidth or technical limitations of your Internet connection and service. The provision, quality and security of such Internet connectivity are your responsibility or that of the third party providing such service. You are solely responsible in the event any Malicious Code introduced in the SOFTWARE because of or through, your internet connections.

EXPORT AND OTHER REGULATIONS

You agree to comply with all applicable export and re-export restrictions and regulations of the Department of Commerce and other United States agencies and authorities, and not to transfer, or authorize the transfer, of the SOFTWARE to a prohibited country or otherwise in violation of any such restrictions or regulations.

U.S. GOVERNMENT RESTRICTED RIGHTS

Use, duplication, or disclosure by the United States Government is subject to restriction as set forth in subparagraph (c) (1) and (2) of the Commercial Computer Software-Restricted Rights at 48 C.F.R. § 52.227-19, as applicable. The manufacturer solely for purposes of this section is Sony Electronics Inc., 16535 Via Esprillo, San Diego, CA 92127.

HIGH RISK ACTIVITIES

The SOFTWARE is not fault-tolerant and is not designed, manufactured or intended for use or resale as on-line control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of the SOFTWARE could lead to death, personal injury, or severe physical or environmental damage (“HIGH RISK ACTIVITIES”). SONY, each of the THIRD-PARTY SUPPLIERS, and each of their respective affiliates specifically disclaim any express or implied warranty, duty or condition of fitness for HIGH RISK ACTIVITIES.

EXCLUSION OF WARRANTY ON SOFTWARE

You acknowledge and agree that use of the SOFTWARE is at your sole risk and that you are responsible for use of the SOFTWARE. The SOFTWARE is provided “AS IS,” without warranty, duty or condition of any kind.

SONY AND EACH OF THE THIRD-PARTY SUPPLIERS (for purposes of this Section, SONY and each of the THIRD-PARTY SUPPLIERS shall be collectively referred to as “SONY”) EXPRESSLY DISCLAIM ALL WARRANTIES, DUTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE AND NONINFRINGEMENT. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SONY DOES NOT WARRANT OR MAKE ANY CONDITIONS OR REPRESENTATIONS (A) THAT THE FUNCTIONS CONTAINED IN ANY OF THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THEY WILL BE UPDATED, (B) THAT THE OPERATION OF ANY OF THE SOFTWARE WILL BE CORRECT OR ERROR-FREE OR THAT ANY DEFECTS WILL BE CORRECTED, (C) THAT THE SOFTWARE WILL NOT DAMAGE ANY OTHER SOFTWARE, HARDWARE OR DATA, (D) THAT ANY SOFTWARE, NETWORK SERVICES (INCLUDING THE INTERNET) OR PRODUCTS (OTHER THAN THE SOFTWARE) UPON WHICH THE SOFTWARE’S PERFORMANCE DEPENDS WILL CONTINUE TO BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE OR UNMODIFIED, (E) THAT THE SOFTWARE OR ANY EQUIPMENT, SYSTEM OR NETWORK ON WHICH THE SOFTWARE IS USED (INCLUDING THE DEVICE) WILL BE FREE OF VULNERABILITY TO INTRUSION OR ATTACK AND (F) REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY SONY OR AN AUTHORIZED REPRESENTATIVE OF SONY SHALL CREATE A WARRANTY, DUTY OR CONDITION OR IN ANY WAY INCREASE THE SCOPE OF ANY PROVISION OF THIS EULA. SHOULD THE SOFTWARE PROVE DEFECTIVE YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THESE EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT THEY ARE CONTRARY TO APPLICABLE LAW OF YOUR JURISDICTION.

LIMITATION OF LIABILITY

SONY AND EACH OF THE THIRD-PARTY SUPPLIERS (for purposes of this Section, SONY and each of the THIRD-PARTY SUPPLIERS shall be collectively referred to as “SONY”) SHALL NOT BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, EXEMPLARY OR CONSEQUENTIAL LOSS OR DAMAGES FOR BREACH OF ANY EXPRESS OR IMPLIED WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR UNDER ANY OTHER LEGAL THEORY RELATED TO THE SOFTWARE, INCLUDING, BUT NOT LIMITED TO, ANY DAMAGES ARISING OUT OF LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE OF THE SOFTWARE OR ANY ASSOCIATED HARDWARE, DOWN TIME AND USER’S TIME, EVEN IF ANY OF THEM HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES. IN ANY CASE, EACH AND ALL OF THEIR AGGREGATE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE GREATER OF (i) THE AMOUNT ACTUALLY PAID FOR THE SOFTWARE AND/OR SONY’S SERVICE TO WHICH THE SOFTWARE IS DEDICATED OR (ii) THE FIXED AMOUNT AGREED IN WRITING BETWEEN SONY AND YOU. SOME JURISDICTIONS DO NOT ALLOW SUCH EXCLUSIONS OR LIMITATIONS OF LIABILITY, SO THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT THEY ARE CONTRARY TO APPLICABLE LAW OF YOUR JURISDICTION.

INDEMNITY

Except as prohibited by applicable law, you agree to indemnify and hold harmless SONY and the THIRD-PARTY SUPPLIERS and their respective affiliates, officers and employees, from any loss, claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the SOFTWARE and/or the DEVICE (including, without limitation, any software vulnerability caused by such use), your violation of this EULA or your failure to fulfill your responsibility under this EULA.

FORCE MAJEURE

SONY shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, fire, floods, storms, earthquakes, epidemics, acts of God, war, terrorism, riots, insurrection, embargoes, acts of civil, military or governmental authorities, nuclear or other accidents, explosions, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

ENTIRE AGREEMENT, WAIVER, SEVERABILITY

This EULA (and SONY’s applicable privacy policy separately presented to you, if any), as amended and modified from time to time, constitute the entire agreement(s) between you and SONY with respect to the SOFTWARE. The failure of SONY to exercise or enforce any right or provision of this EULA shall not constitute a waiver of such right or provision. If any part of this EULA is held invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible so as to maintain the intent of this EULA, and the other parts will remain in full force and effect.

GOVERNING LAW AND JURISDICTION

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to the SOFTWARE or this EULA. This EULA will not be governed or interpreted in any way by referring to any law based on the Uniform Computer Information Transactions Act (UCITA) or any other act derived from or related to UCITA. This EULA shall be governed by the laws of the State of Delaware (USA), without regard to conflict of laws provisions.

BINDING ARBITRATION

ANY “DISPUTE” THAT IS NOT RESOLVED THROUGH THE INFORMAL NEGOTIATION PROCESS DESCRIBED ABOVE SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION. “DISPUTE” is defined as any disagreement, cause of action, claim, controversy, or proceeding between you and any Sony entity related to or arising out of the SOFTWARE or this EULA. DISPUTE is to be given the broadest possible meaning that will be enforced. If a DISPUTE arises, you agree to first give notice to SONY by contacting Sony Electronics Inc. at 16535 Via Esprillo, MZ 1105, San Diego, CA 92127, Attn: Legal Department, and engaging in good faith negotiations to attempt to resolve any DISPUTE for at least 14 days, except that you or Sony (or any of its affiliates) may skip this informal negotiation procedure for DISPUTE enforcing, protecting, or concerning the validity of intellectual property rights.

ARBITRATION INSTRUCTIONS

To begin arbitration, either you or SONY must make a written demand to the other for arbitration. The arbitration will take place before a single arbitrator. It will be administered in keeping with the Expedited Procedures of the Commercial Arbitration Rules, and the Supplementary Proceedings for Consumer-Related disputes when applicable (“Rules”) of the American Arbitration Association (“AAA”) in effect when the claim is filed. You may get a copy of AAA’s Rules by contacting AAA at (800) 778-7879 or visiting www.adr.org. The filing fees to begin and carry out arbitration will be shared between you and SONY, but in no event shall your fees ever exceed the amount allowable by the special rules for Consumers Disputes provided for by AAA, at which point SONY will cover all additional administrative fees and expenses. This does not prohibit the arbitrator from giving the winning party their fees and expenses of the arbitration when appropriate pursuant to the Rules. Unless you and SONY agree differently, the arbitration will take place in the county and state where you live, and applicable federal or state law shall govern the substance of any DISPUTE. The Federal Arbitration Act, 9 U.S.C. § 1, et seq., will govern the arbitration itself and not any state law on arbitration. The arbitrator’s decision will be binding and final, except for a limited right of appeal under the Federal Arbitration Act. The arbitrator may award declaratory or injunctive relief only in favor of the party seeking relief, and only to the extent necessary to provide relief warranted by that party’s individual claim. Any court with jurisdiction over the parties may enforce the arbitrator’s decision.

SMALL CLAIMS EXCEPTION

Despite the provisions set forth above, you have the right to litigate any DISPUTE in small claims court or other similar court of limited jurisdiction, to the extent the amount at issue does not exceed $15,000, and as long as such court has proper jurisdiction and all other requirements (including amount in controversy) are satisfied.

CLASS ACTION WAIVER

YOU UNDERSTAND AND ACKNOWLEDGE THAT BY AGREEING TO BINDING ARBITRATION, YOU ARE GIVING UP THE RIGHT TO LITIGATE (OR PARTICIPATE IN AS A PARTY OR CLASS MEMBER) ANY DISPUTES IN COURT BEFORE A JUDGE OR JURY. ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS, AND BOTH PARTIES AGREE NOT TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, REPRESENTATIVE ACTION, CONSOLIDATED ACTION, OR PRIVATE ATTORNEY GENERAL ACTION, UNLESS ALL PARTIES INVOLVED IN THE DISPUTE SPECIFICALLY AGREE TO DO SO IN WRITING FOLLOWING INITIATION OF THE ARBITRATION.

OPT-OUT INSTRUCTIONS

IF YOU DO NOT WISH TO BE BOUND BY THE BINDING ARBITRATION PROVISION AND/OR THE CLASS ACTION WAIVER ABOVE, THEN: (1) YOU MUST NOTIFY SONY IN WRITING WITHIN 30 DAYS OF THE DATE THAT YOU FIRST USE THE SOFTWARE OR AGREE TO THIS EULA, WHICHEVER OCCURS FIRST; (2) YOUR WRITTEN NOTIFICATION MUST BE MAILED TO SONY ELECTRONICS INC., 16535 VIA ESPRILLO, MZ 1105, SAN DIEGO CA 92127, ATTN: LEGAL DEPARTMENT; AND (3) YOUR WRITTEN NOTIFICATION MUST INCLUDE: (A) YOUR NAME; (B) YOUR ADDRESS; (C) THE DATE YOU FIRST USED THE SOFTWARE OR AGREED TO THIS EULA; AND (D) A CLEAR STATEMENT THAT YOU DO NOT WISH TO RESOLVE DISPUTES WITH ANY SONY ENTITY THROUGH ARBITRATION AND/OR TO BE BOUND BY THE CLASS ACTION WAIVER.

REJECTING CHANGES MADE TO THE DISPUTE PROCEDURES

Despite anything to the contrary in this EULA, you may reject changes made to the binding arbitration provision and class action waiver if: (1) you’ve already begun authorized use of the SOFTWARE at the time the change was/is made; and (2) you mail written notice to the address in the immediately preceding paragraph within 30 days after the particular change was/is made. Should such a situation arise, you will still be bound by the DISPUTE procedures you previously agreed to and existing before the change you rejected was made.

MISCELLANEOUS

Any DISPUTE determined not subject to arbitration and not initiated in small claims court will be litigated by either party in a court of competent jurisdiction in either the superior court for the County of San Diego or in the United States District Court for the Southern District of California.

EQUITABLE REMEDIES

Notwithstanding anything contained in this EULA to the contrary, you acknowledge and agree that any violation of or non-compliance with this EULA by you will cause irreparable harm to SONY, for which monetary damages would be inadequate, and you consent to SONY obtaining any injunctive or equitable relief that SONY deems necessary or appropriate in such circumstances. SONY may also take any legal and technical remedies to prevent violation of and/or to enforce this EULA, including, but not limited to, immediate termination of your use of the SOFTWARE, if SONY believes in its sole discretion that you are violating or intend to violate this EULA. These remedies are in addition to any other remedies SONY may have at law, in equity or under contract.

TERMINATION

Without prejudice to any of its other rights, SONY may suspend your access or use of the SOFTWARE and/or terminate this EULA if you fail to comply with any of its terms. In case of such termination, you must: (i) cease all use, and destroy any copies, of the SOFTWARE; (ii) comply with the requirements in the section below entitled “Your Account Responsibilities”.

AMENDMENT

SONY RESERVES THE RIGHT TO AMEND ANY OF THE TERMS OF THIS EULA AT ITS SOLE DISCRETION BY POSTING NOTICE ON A SONY DESIGNATED WEB SITE, BY EMAIL NOTIFICATION TO AN EMAIL ADDRESS PROVIDED BY YOU, BY PROVIDING NOTICE AS PART OF THE PROCESS IN WHICH YOU OBTAIN UPGRADES/UPDATES OR BY ANY OTHER REASONABLE OR LEGALLY RECOGNIZABLE FORM OF NOTICE. If you do not agree to the amendment, you should promptly contact SONY for instructions. Your continued use of the SOFTWARE after the effective date of any such notice shall be deemed your agreement to be bound by such amendment.

THIRD-PARTY BENEFICIARIES

Each THIRD-PARTY SUPPLIER is an express intended third-party beneficiary of, and shall have the right to enforce, each provision of this EULA with respect to the software of such party.

SOFTWARE DELETION

Should you return your DEVICE to its place of purchase, sell or otherwise transfer your DEVICE, or if this EULA is terminated, you are responsible for and must, if reasonably possible, uninstall the SOFTWARE from the DEVICE.

  1. When you use your Spatial Reality Display, the built-in camera in your Spatial Reality Display and the SOFTWARE processes information about the viewers, including real-time facial image and eye position. The information processed may constitute ‘biometric information’ under certain laws. The information is processed solely within your Spatial Reality Display and the SOFTWARE and is not transmitted to SONY.

    It is your responsibility to maintain and implement the necessary privacy policies, mechanisms and processes as required by applicable privacy laws and regulations for the collection and processing of this data.

您可以使用本软件浏览、存储、处理和/或使用您和/或第三方创建的内容。该类内容可能受到版权、其他知识产权法和/或协议的保护。您同意仅在符合所有适用于该等内容的法律和协议的情况下使用本软件。您知悉并同意,索尼可采取适当措施保护本软件存储、处理或使用的内容。该等措施包括但不限于拒绝接受您通过某些软件功能备份和恢复内容的请求,以及在您非法使用本软件时终止本EULA。

内容服务

另外还请注意,设计有关软件的目的可能是与通过一项或多项内容服务(“内容服务”)而获得的内容一同使用。该等服务和内容的使用应遵循该内容服务的服务条款。如果您拒绝接受该等条款,则您对有关软件的使用将受到限制。您承认并同意,通过有关软件获得的某些内容和服务可能会由第三方提供,而该第三方并不受索尼控制。如果内容服务不在索尼的控制之下,索尼将不对与该等内容服务相关的任何损害(或其他责任)承担责任。使用内容服务时,需要与互联网连接。内容服务随时都有可能被修改或中止。

与互联网的连接和第三方服务

您承认并同意,访问/使用有关软件的某些功能可能需要与互联网连接,对于此等连接,您应独自承担责任。此外,您还独自负责支付与您接入互联网有关的任何第三方费用,包括但不限于互联网服务提供商的收费或国际漫游通话费。本软件的运行可能会受您的互联网连接和服务的功能、带宽或技术限制所规定或限制。该等互联网连接的提供、素质及安全性由您或提供该等服务的第三方负责。如果由于您的互联网连接或通过您的互联网连接在本软件中引入任何恶意代码,则由您独自承担责任。

出口及其他法规

您同意遵守您居住或使用本软件所在地区或国家所有关于出口和再出口的适用限制和法规,不将本软件转让或授权转让到被禁止的国家或违反任何该类限制或法规的地区。

高风险活动

本软件不具有容错性,且其设计、制造或预期用途并非在需要具备故障安全性能的危险环境中作为在线控制设备使用或转售,例如在核设施、飞机导航或通信系统、空中交通管控、直接生命支持机器或武器系统的操作等可能因本软件的故障而导致死亡、人身伤害或严重的物理或环境破坏的活动(“高风险活动”)。索尼、各第三方供应商及其各自的关联公司对于高风险活动的适用性尤其不提供任何明示或暗示的保证、责任或条件。

软件免责声明

您知悉并同意自行承担使用本软件的风险,且应对本软件的使用负责。本软件“按原样”提供,且不提供任何形式的保证、责任或条件。

索尼及各第三方供应商(就本节而言,索尼及各第三方供应商应被统称为“索尼”)明确声明不提供任何明示或暗示的保证、责任或条件,包括但不限于适销性、质量、适合特定用途的暗示保证、准确性、所有权和非侵权。索尼不保证,亦不提供任何下述条件或声明:(A)任何软件中所包含的功能皆满足您的需求,或者软件会被更新;(B)任何软件的运行都将正确无误,或者任何缺陷都将被修正;(C)本软件将不会损坏任何其他软件、硬件或数据;(D)本软件的性能所依赖的任何软件、互联网服务(包括互联网)或产品(本软件除外)将持续可用、不受干扰、及时、安全或不被修改;(E)本软件或使用本软件的任何装置、系统或互联网(包括设备)不存在遭受入侵或攻击,以及(F)关于本软件的使用或使用结果的正确性、准确性、可靠性或其他方面的脆弱性。

索尼或索尼的授权代表提供的任何口头或书面信息或建议均不构成保证、责任或条件,或以任何方式扩大本保证的范围。如果软件被证明有缺陷,您将承担所有必要的服务、维修或修正的费用。某些司法管辖区不允许排除暗示保证,因此,如这些排除违反了您所在司法管辖区的适用法律,则这些排除可能不适用于您。

责任限制

索尼及各第三方供应商(就本节而言,索尼及各第三方供应商应被统称为“索尼”)不承担因违反任何明示或暗示的保证、违约、疏忽、严格责任或与软件有关的任何其他法律理论而造成的任何偶然、间接、特殊、例外或后果性损失或损害,包括但不限于因利润损失、收入损失、数据损失、软件或任何相关硬件的使用、停机和用户时间损失而产生的任何损害,即使其中任何一方已事先获知发生此类损失或损害的可能性。在任何情況下,索尼在本EULA任何条款项下的总责任应限于(i)为软件和/或软件专用的索尼服务实际支付的金额或(ii)索尼与您之间书面商定的固定金额。有些司法管辖区不允许此类排除或限制责任,因此,如上述排除或限制违反您所在司法管辖区的适用法律,则这些排除或限制可能不适用于您。

赔偿

除适用法律禁止外,对于任何第三方因您违反本EULA或您未能履行本EULA项下使用本软件和/或设备(包括但不限于因该类使用而造成的任何软件漏洞)而造成的任何损失、索赔或要求(包括合理的律师费),您同意进行赔偿并保证索尼、第三方供应商及其各自的关联公司、高级职员及雇员免受损害。

不可抗力

索尼对于因其合理控制范围以外的原因而导致的任何延误或性能故障皆不承担任何责任,包括但不限于火灾、洪水、风暴、地震、流行病、天灾、战争、恐怖主义袭击、骚乱、暴动、禁运、民事或军事或政府当局的行为、核事故或其他事故、爆炸、罢工或交通设施、燃料、能源、劳动力或材料的短缺。

完整协议、放弃、可分割性

本EULA(以及如有索尼单独向您提供的适用隐私政策)经不时修订及修改后,共同构成您与索尼之间就本软件达成的完整协议。索尼未能行使或执行本EULA的任何权利或规定的行为将不构成对该等权利或规定的放弃。如果本EULA的任何部分被视为无效、非法或不可执行,则该条规定应被在最大允许范围内执行,以维持本EULA的意图,并且其他部分将依然完全有效。

法律适用以及管辖权

《联合国国际货物销售合同公约》不适用于本EULA。本EULA受日本法律管辖,不考虑其与法律条款的冲突。因本EULA产生的任何争议均应以日本东京地方法院的专属审判地为准,双方特此同意法院的审判地和管辖权。如果您所在司法管辖区的适用法律限制或禁止此类协议,则上述条款不适用于您。

衡平救济

不管本EULA中有何相反规定,您知悉并同意,您对本EULA的任何违反或不遵守均会给索尼造成不可弥补的损害,而金钱赔偿不足以对其作出弥补。在此种情形下,您同意索尼获取其认为必要或适当的任何禁令救济或衡平救济。此外,如果索尼在其自行酌定的情况下认为您正在违反或者有意违反本EULA,则索尼还可采取法律和技术上的补救措施以防止对本EULA的违反和/或强制执行,包括但不限于立即终止您对有关软件的使用。这些补救措施是对索尼在法律上、衡平法或合同项下所享有的任何其他补救措施的补充。

终止

如您不遵守本EULA的任何条款的情况,在不影响索尼的任何其他权利的同时,索尼可以暂停您对软件的访问或使用,和/或终止本EULA。在发生该等终止的情况下,您必须:(i)停止使用有关软件,并销毁有关软件的任何复制件;(ii)遵守下文“您的帐户责任”部分所述的要求。

修订

索尼保留其自行酌定修订本EULA的任何条款的权利,该等修订将通过在索尼指定的网站上张贴通知、向您提供的电子邮件地址发送电邮通知、作为您获取升级/更新的程序的一部分向您作出通知,或者以法律认可的任何其他形式予以通知。如果您不同意该修订,则应立即联系索尼以获得指示。如果您在上述任何通知的生效日之后继续使用本软件,则将被视为同意受该等修订的约束。

第三方受益人

就各第三方供应商的有关软件而言,该方系本EULA项下与其相关的每一条款的明确和预定的第三方受益人,并且有权执行该等相关条款。

软件删除

如您将设备退货、出售或转让,或如本EULA终止,如情况合理,您有责任且必须将软件从设备上卸载。

隐私声明

  1. 当您使用空间现实显示屏时,空间现实显示屏内置的摄像头和软件会处理有关观众的信息,包括实时面部图像和眼睛位置。根据相关法律,处理的信息可能构成“生物识别信息”。该信息仅在您使用的空间现实显示屏和软件内处理,不会传输给索尼(SONY)。

    您有责任根据适用的隐私法律法规的要求,维护和实施必要的隐私政策、机制和流程,以收集和处理这些数据。

ソフトウェア使用許諾契約書

本契約は、ソニー株式会社(以下「ソニー」といいます)からお客様及びお客様が代理する法人その他の事業者(以下、併せて「お客様」とします)への、ソニー製の視線認識型立体視ディスプレイ製品「Spatial Reality Display」用アプリケーションソフトウェア(コンピューターソフトウェア、関連データ、マニュアルなどの関連書類および電子文書並びにそれらのアップデート・アップグレード版を含み、以下「許諾ソフトウェア」といいます)の使用権の許諾に関する条件を定めるものです。許諾ソフトウェアを使用いただく前に、本契約をお読み下さい。お客様による許諾ソフトウェアの使用開始をもって、本契約にご同意いただいたものとします。

なお、許諾ソフトウェアの中には、ソニー以外のソフトウェアの権利者が定める使用許諾条件を伴うソフトウェア(以下「対象外ソフトウェア」といいます)が含まれている場合があります。対象外ソフトウェアの使用は、各権利者の定める使用許諾条件に従っていただくものとします。

第1条(総則)

許諾ソフトウェアは、日本国内外の著作権法並びに著作者の権利およびこれに隣接する権利に関する諸条約その他知的財産権に関する法令によって保護されています。許諾ソフトウェアは、本契約の条件に従いソニーからお客様に対して使用許諾されるもので、許諾ソフトウェアの著作権等の知的財産権はお客様に移転いたしません。

第2条(使用権)

ソニーは、許諾ソフトウェアを、お客様がお持ちの許諾ソフトウェアに対応したデバイス(以下「指定デバイス」といいます。)上で、本契約の条件及びマニュアル等の指示・注意事項に従って使用する、非独占的かつ譲渡不能な権利をお客様に許諾します。

第3条(権利の制限)

  • お客様は、許諾ソフトウェアの全部または一部を複製、複写、配布、譲渡、販売したり、これに対する修正、追加等の改変をすることはできないものとします。また、許諾ソフトウェアに含まれるトレードマークやその他の権利標記等の表示を削除したり、外観の変更をしてはならないものとします。
  • お客様は、別途明示的に許諾されている場合を除き、許諾ソフトウェアを再使用許諾、貸与またはリースその他の方法で第三者に使用させてはならないものとします。
  • お客様は、別途明示的に許諾されている場合を除き、許諾ソフトウェアの一部またはその構成部分を許諾ソフトウェアから分離して使用しないものとします。
  • お客様は、許諾ソフトウェアを用いて、ソニーまたは第三者の権利もしくは法律上保護される利益(知的財産権、営業秘密、名誉、プライバシー、肖像権、パブリシティ権、所有権を含みますがこれらに限られません)を侵害し、または法令、裁判所の判決その他公的機関による法的拘束力のある処分もしくは公序良俗に反する行為を行ってはならないものとします。
  • お客様は、許諾ソフトウェアに関しリバースエンジニアリング、逆アセンブル、逆コンパイル等のソースコード解析作業を行ってはならないものとします。
  • 許諾ソフトウェアの使用に伴い、許諾ソフトウェアが自動的に許諾ソフトウェアで用いるためのデータファイルを作成する場合があります。この場合、当該データファイルは許諾ソフトウェアとみなされるものとします。
  • お客様は、取扱指示に反する態様で、許諾ソフトウェアを使用してはならないものとします。
  • お客様は以下の行為を行ってはならず、また、第三者に対して以下の行為を指示、許容、要請、斡旋または当該行為を可能にしてはならないものとします。

    (ア) 本契約上の条件に反する目的または態様で、許諾ソフトウェアを使用すること

    (イ) 許諾ソフトウェアに、バックドア、ドロップデッドデバイス、時限爆弾、トロイの木馬、ウイルス、ワーム、その他これに類する許諾ソフトウェアやお客様または第三者が保有または管理するデバイスやシステムの稼働を阻害し、停止させ、害し、またはその態様に関わらず妨げることを目的とするコードやファイル、スクリプト、エージェント、プログラム、ルーチンまたは指示(以下「悪意のあるコード」といいます)を取り込むこと

    (ウ) 許諾ソフトウェアの適切な稼働に干渉すること

    (エ) 許諾ソフトウェアの以下の機能を回避し、停止させ、または干渉すること

     1. 許諾ソフトウェアのセキュリティに関する機能
     2. 許諾ソフトウェアの使用、許諾ソフトウェアへのアクセス、または許諾ソフトウェアの複製を阻止または制限するための機能
     3. 許諾ソフトウェアの使用に制限をかける機能

    (オ) 許諾ソフトウェアに対して不合理なまたは不相当に大きな負荷をかけ、あるいはお客様の判断で当該負荷をかけられるようにすること

第4条(許諾ソフトウェアの権利)

許諾ソフトウェアに関する著作権等一切の権利は、ソニー、ソニーの関係会社またはソニーが本契約に基づきお客様に対して使用許諾を行うための権利をソニーまたはソニーの関係会社に許諾した原権利者(以下「原権利者」といいます)に帰属するものとし、お客様は許諾ソフトウェアに関して本契約に基づき許諾された使用権以外の権利を有しないものとします。

第5条(オープンソースソフトウェア)

  • 対象外ソフトウェアには、①ソースコードの形式でまたは無償で公に入手可能なソフトウェアを含むものまたはその派生物であり、かつ②本契約の規定と異なる定めの適用を受けるソフトウェア(対象となるソフトウェアを任意の第三者に対して自由に使用許諾させる義務等を含みますがこれに限られません。)(以下「オープンソースソフトウェア」といいます)が含まれることがあります。
  • ソニーが開示するオープンソースソフトウェアのライセンス条件は、https://oss.sony.net/Products/Linux/またはその他ソニーの指定するサイトにてご確認下さい。オープンソースソフトウェアには、それぞれのオープンソースソフトウェアに該当するライセンス条件が、本契約の代わりに適用されます。

第6条(責任の範囲)

  • ソニーは、許諾ソフトウェアに関して、エラー、バグ等の不具合がないこと、許諾ソフトウェアが中断なく稼動すること、許諾ソフトウェアの使用がお客様および第三者に損害を与えないことならびに第三者の知的財産権を侵害していないことその他のいかなる事項についても、明示または黙示を問わず何らの保証も行いません。ただし、ソニーは、エラー、バグ等の不具合に対応するため、許諾ソフトウェアのアップデートファイル等の提供による許諾ソフトウェアの修正または当該エラー、バグ等についての問い合わせ先の通知を行うことがあります。 本項に定めるアップデートファイル等の提供方法または問い合わせ先の通知方法はソニーがその裁量により定めるものとします。
  • 許諾ソフトウェアの動作や機能が依存する可能性のある、許諾ソフトウェア以外の製品、ソフトウェアまたはネットワーク等サービス(当該製品、ソフトウェアまたはサービスは第三者が提供する場合に限られず、ソニーが提供する場合も含みます)は、当該製品、ソフトウェアまたはネットワーク等サービスの提供者の判断により、その機能等の全部または一部が変更され、または提供や稼働が中断もしくは終了する場合があります。ソニーは、許諾ソフトウェアの動作や機能が依存する可能性のあるこれらの製品、ソフトウェアまたはネットワーク等サービスが、変更、中断なく将来に亘って正常に提供され、稼動することおよび当該製品、ソフトウェアまたはネットワーク等サービスのセキュリティーに脆弱性がないことを保証いたしません。
  • ソニーは、許諾ソフトウェアが稼働するソフトウェア、機器(指定デバイスを含みます)、設備、システムまたはネットワークが侵入や攻撃の対象となり得ないことを保証いたしません。
  • 本契約の他の規定にかかわらず、ソニーは、その債務不履行または不法行為によりお客様に損害が生じた場合、お客様に通常生じうる損害の範囲内で、かつ、お客様が許諾ソフトウェアまたは許諾ソフトウェアを用いて利用するソニーのサービスのために支払った金額の合計額を上限として、これを賠償する責任を負うものとし、特別な事情から生じた損害その他の結果(発生を予見しまたは予見し得た場合を含みます)については一切責任を負わないものとします。ただし、ソニーは、その故意または重大な過失による債務不履行または不法行為に起因してお客様に生じた損害に対する賠償責任については、免責されないものとします。
  • 許諾ソフトウェアや付随するサポート等は、本契約に基づき、ソニーからお客様に対して提供されるものであり、ソニーの関係会社や原権利者は、法令上別段の定めがある場合およびソニーの関係会社や原権利者がお客様と別段の合意をした場合を除き、許諾ソフトウェアや付随するサポート等に関連してお客様に対し一切責任を負わないものとします。

第7条(用途の限定)

許諾ソフトウェアは、高度の安全性が要求され、許諾ソフトウェアの不具合や中断が生命、身体への危険、有体物または環境に対する重大な損害に繋がる用途(例えば、原子力発電所を含む核施設の制御、航空機の制御、通信システム、航空管制、生命維持装置または兵器)を想定しては設計されていません。ソニーは、許諾ソフトウェアがこれら高度の安全性が要求される用途に合致することを一切保証いたしません。

第8条(第三者に対する責任)

法律上特に禁止されている場合を除き、お客様は以下に該当する紛争を自らの費用と責任で解決するものとし、ソニー、ソニーの関係会社および原権利者に一切の迷惑をかけないものとします。

(ア)お客様が許諾ソフトウェアまたは指定デバイスを使用したことに関連して、お客様と第三者との間で生じた紛争(当該使用によってセキュリティーの脆弱性が生じたことに関連する紛争や当該使用による知的財産権その他の第三者の権利または法律上保護される利益の侵害を理由とする紛争を含み、これらに限られません)

(イ)お客様が本契約に違反したり、本契約上の義務を履行しなかったことに関連して、お客様と第三者との間で生じた紛争

第9条(知的財産権保護)

お客様は、許諾ソフトウェアの使用に際し、日本国内外の著作権法並びに著作者の権利およびこれに隣接する権利に関する諸条約その他知的財産権に関する法令に従うものとします。また、許諾ソフトウェアが著作物等の複製、保存および復元等の機能を有する場合、ソニーは、著作物等に関する知的財産権の保護に必要な範囲で、複製、保存および復元等機能の制限その他必要な措置をとることができるものとします。

第10条(ネットワークサービス)

許諾ソフトウェアは、ネットワークサービスの利用を想定している場合があります。ネットワークサービスを利用するにあたっては、当該ネットワークサービスの利用条件に従っていただく必要があります。ネットワークサービスを利用されない場合、許諾ソフトウェアの動作や機能は限定的なものとなる場合があります。また、ネットワークサービスはソニーの管理下にない第三者によって提供されている場合があります。ネットワークサービスがソニーの管理下にない場合、ソニー、ソニーの関係会社および原権利者は、当該ネットワークサービスに関連する損害賠償その他のいかなる責任も負わないものとします。ネットワークサービスの利用にあたっては、インターネット環境が必要となります。インターネット環境の整備、セキュリティーおよびその費用についての責任はお客様にあるものとします。また、お客様は、お客様のインターネット環境を通じて許諾ソフトウェア、許諾ソフトウェアが稼働するソフトウェア、機器(指定デバイスを含みます)、設備、システムまたはネットワークに悪意のあるコードが取り込まれた場合、一切の責任を負うものとします。なお、許諾ソフトウェアの動作や機能は、インターネット環境により限定的なものとなる場合があります。また、ネットワークサービスの内容変更、提供の中断もしくは終了またはインターネット環境等により、許諾ソフトウェアと共に使用されるコンテンツ等が利用できなくなる場合があります。

第11条(契約の終了)

  • ソニーは、お客様が本契約に定める条項に違反した場合、直ちにお客様による許諾ソフトウェアへのアクセスまたは使用を停止させ、直ちに本契約を解約し、またはそれらによって蒙った損害の賠償をお客様に対し請求できるものとします。
  • 前項またはその他の事由で本契約が終了した場合でも、第4条から第16条の規定は有効に存続するものとします。

第12条(許諾ソフトウェアの削除等)

前条その他の事由により本契約が終了した場合、お客様は、合理的に可能な限り、契約の終了した日から2週間以内に許諾ソフトウェアおよびその複製物を削除するものとし、ソニーが求めるときはその旨を証明する文書をソニーに差し入れるものとします。

第13条(契約の改定)

ソニーは、法令で認められた範囲において、本契約を随時改定することができるものとします。ソニーは、改定後の本契約の適用開始に先立ち、改定内容等に照らしてソニーが合理的と判断する事前告知期間を設定したうえで(ただし、本契約の改定内容がお客様の一般の利益に適合するものである場合は事前告知期間を定めないことができるものとします)、改定後の本契約の条件をお客様が登録した電子メールアドレスへの電子メールの発信、ソニー所定のサイトでの告知又はその他ソニーが適切と判断する方法をもってお客様に周知いたします。

第14条(許諾ソフトウェアの削除)

お客様が、指定デバイスを譲渡または破棄する場合、または本契約が終了した場合には、お客様は、合理的に可能な限り、指定デバイス内の許諾ソフトウェアを削除するものとします。

第15条(不可抗力)

ソニーは、天災、地変、その他自己の責に帰すべからざる事由に起因する本契約上の義務(金銭債務の支払義務を除く)の不履行について、一切の責任を負わないものとします。

第16条(その他)

  • 本契約は、日本国法に準拠するものとします。
  • お客様は、許諾ソフトウェアを日本国外に持ち出して使用する場合、適用ある輸出管理規制、法律、命令に従うものとします。
  • 本契約は、消費者契約法を含む消費者保護法規によるお客様の権利を不利益に変更するものではありません。
  • 本契約の一部条項が法令によって無効となった場合でも、当該条項は法令で有効と認められる範囲で依然として有効に存続するものとします。
  • ソニーの関係会社および原権利者は本契約の第三受益者として取り扱われるものとし、関連する本契約上の権利を直接行使しあるいは免責等を援用することができるものとします。
  • 本契約に定めなき事項または本契約の解釈に疑義を生じた場合は、お客様およびソニーは誠意をもって協議し、解決するものとします。お客様とソニーとの間に本契約に関連して訴訟の必要が生じた場合、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

プライバシーに関するお知らせ

  1. 視線認識型立体視ディスプレイ製品「Spatial Reality Display」をお使いの際、Spatial Reality Displayに内蔵されているカメラおよび許諾ソフトウェアは、顔画像および目の位置を含む、視聴者の情報を処理します。当該情報は、特定の法令の下では「生体情報」に該当する場合があります。当該情報は、Spatial Reality Displayおよび許諾ソフトウェア内でのみ処理され、ソニーに送信されることはありません。

    これらの情報の取得および処理に関して、適用されるプライバシー法令および規制に基づいて必要なプライバシーポリシー、メカニズム、およびプロセスを維持、実施する責任はお客様にあるものとします。

  2. 「高速ビジョンセンサーログ保存機能」を使用する際には、視線認識型立体視ディスプレイ製品「Spatial Reality Display」に内蔵されたカメラおよび許諾ソフトウェアが、顔画像を含む視聴者の情報を処理し、視聴者および視聴者の目の位置を検出します。これらの情報は、視聴者数と視聴時間を分析・ログをするために処理されます。処理される情報は、特定の法令の下で「生体情報」に該当する場合があります。

    お客様が、当該機能の利用を管理します。これらの情報はSpatial Reality Displayおよび許諾ソフトウェア内でのみ処理され、ソニーに送信されることはありません。
